TERMS & CONDITIONS
By your applies of membership through our office or website, GA Space accepts you as an Entrepreneur Community Member and that you have carefully read the Terms and Conditions, and you agree to be bound by these Terms and Conditions.
1. YOUR APPLICATION AND BECOMING A SPACECUBED COMMUNITY MEMBER
GA Space shall inform you by email if we have accepted your application of the membership. Once you are accepted by GA Space, you are agreed to the membership terms of these Terms and Conditions.
However, GA Space reserves the right to accept or reject your application without the need to explain for any reason.
As a GA Space Entrepreneur Community Member, You must:
a) apply and submit your application of membership online or offline, and create an Account with at our GASpace website;
b) have your application processed and accepted by GA Space.
2. EMAIL ADDRESS
You will be create an Account at our website using your email. Your account and email must not disclosed to any parties and be used by any parties for the benefits of the any parties. You are the sole user and owner of the account and email. You will be responsible for any losses suffered by GA Space as a result of your failure to keep confidential of your account and email.
Non-compliance of this will subject for termination of your membership.
3. ENTREPRENEUR COMMUNITY MEMBERSHIP FEE
Membership paid are not refundable. Access to co-working space depends on the types of memberships. Please refer to membership types below.
Should your membership has limit the access days to the Co-working space, you could access to co-working space for RM30 per day.
4. FEE AND RENEWAL OF MEMBERSHIP
Fee are payable monthly. Unless you notify us your intention to cease the membership, your membership will be automatically renewed. Your nominated debit or credited card will be charged and the fee charged will not be refundable. If you have not paid at due date, your membership will be lapse.
You could cancel the membership by giving two month notice. Upon expiry of membership, your membership will be ceased and all the benefits with GA Space will also be ceased.
5. MOVABLE DEDICATED DESKS
Your dedicated desk may be required by GA Space for carry out of events. You will be informed by advance notice.
6. MEETING ROOMS AND HALL
Our meeting rooms are for rent subject to availability. You could book the meeting room with fee as per the schedule below.
You could cancel the booking. However, if cancellation less than less than 7 days, the meeting fee will be forfeited. Please refer to payment term below.
6.1. GA Space has meeting rooms subject to Booking and availability, are available for rent by You.
6.2. Booking of Meeting Rooms must be made using our GA Space Website online booking placing and by placing, you are agreed to the room rental and will be notified. GA Space reserves the right to accept or reject the booking without giving any reasons.
6.3. If You use a Meeting Room without having made a Booking You may be asked to pack up and vacate the Meeting Room immediately (which you must do), even if not booked by another person.
6.4. Cancellation of less than less than 7 days, you room rental will be forfeited. Cancellation more than 7 days, a cancellation fee of 20% of the room rental will be deducted from the room rental, the balance will be refunded. Refer payment term below.
6.5 If there is a clashes of date and time, and there is no alternate meeting room, GA Space reserves its right to cancel the booking and refund the room rental.
6.6.The followings are the number of persons in each meeting rooms:
a) Small meeting room – 8 people;
b) Medium meeting room – 20-30 people; and
c) Event Hall – 100 people
6.7. A projector and writing white board will be provided including Coffee and Tea during the break time. Each Meeting Room must maintain clean. If there is a damage to the room, you are responsible to restore to the original position.
7. PAYMENT TERMS OF MEETING ROOMS AND HALL
Our meeting rooms are for rent subject to availability. You could book the meeting room with fee as per below.
i. Payment Schedule
50% of rental fee to be paid and to confirm the booking
100% of rental fee to be paid and to confirm the booking one (1) month prior to the booked date.
ii. Cancellation Fees:
50% of total fee if cancelled 14 days before the booked date
80% of total fee if cancelled 7 days before the booked date
100% of total fee if cancelled less than 7 days before the booked date
8. LOCKER SPACE
GA Space could provide you a locker for a fee charge subject to availability. Please be reminded that you are responsible to keep the valuable items with you at all times. The lockers are not security lockers. GA Space does not accept responsibility for any loss or theft of or damage to your property.
9. INTELLECTUAL PROPERTY
All Intellectual Property Rights of GA Space and its members information, should not allowed to re-use for posting, uploading, copy and re-distribution for personal or business, modified for own use or in business through internet.
10. LIMITATION OF USE & DISTRIBUTION
Any report or advice given by GA Space in relation to this engagement is given in confidence and shall not be used or relied upon for any other purpose. Save with our prior written consent, no part of any report or advice given by GA Space may be disclosed to third parties or copied, reproduced, extracted, quoted or included in any other document or communication to third parties.
It is always our professional practice that all manuals or reports drafted by GA Space at member’s request would remain as member’s property and to be used in any manner that it deems fit. We are also agreeable to limits its used or distributed of member’s manuals or reports and it should not be used or distributed to any third parties without member’s written consent.
11.ENTREPRENEUR DEVELOPMENT PROGRAM
Members shall have the responsibility to make available and disclose to us all relevant information, financial records and related data in order for us to carry out our coaching program.
In the course of our work, we may rely upon information and representations given to us by members. It is therefore agreed that we shall not be liable for losses, damages, costs or expenses arising from fraudulent acts, fraudulent misrepresentations, omissions or willful default on the part of the members except and only to the extent that any of us has contributed to such losses, damages, costs or expenses by our negligence or willful default.
12. LIMITATION OF LIABILITY
Members shall indemnify and hold harmless GA Space and its personnel from and against any claims, liabilities, cost and expenses (including, without limitation, attorney fees and the time of GA Space personnel involved) brought against, paid or incurred by GA Space at any time and in any way arising out of or relating to GA Space services under this letter, except to the extent finally determined to have resulted from the gross negligence or willful misconduct of GA Space personnel.
GA Space maximum liability relating to services rendered under this letter (regardless of form of action, whether in contract, negligence or otherwise) shall be limited to the charges paid to GA Space for the portion of our services or work products giving rise to liability. In no event shall GA Space be liable for consequential, special, incidental or punitive loss, damage or expense (including without limitation, lost profits, opportunity costs, etc), even if we have been advised of their possible existence.
The above limitation apply and include members’ failure to comply with this terms and conditions of the membership, misuse of website online directory, infringement of Intellectual Property Rights, and invade or misuse privacy of GA Space members, members’ information include third parties.
13. CONFIDENTIALITY INFORMATION
You are to keep confidential of all information of GA Space, member information, our premises design and system know-how, information in our networking activities, our social media marketing and website. You shall not be used INFORMATION for personal gain without consent from GA Space.
14. PERSONAL INFORMATION
Personal information of your company and your personal profile would be shown on website online directory. You are to review and inform the community manager if any of this information could be sensitive to your company policy or personal image. We will remove upon your instruction.
15. NOTICE OF TERMINATION AND MAKE GOOD
Members are required to give TWO months’ notice for termination of membership. Failure to give notice the deposit would be used to offset the notice.
At the last day of the termination notice, members are required to make goods of the followings:
- Membership dues are fully paid.
- Rectify and repair to original position of the damages to the GA Space premises at your own costs.
- Return the property of GA Space to community manager include keys.
- Remove your own belongings at GA Space storage.
16. WEBSITE AND ONLINE SERVICES
Website could be unavailable sometimes due to online technical problems. We would work our best to reconnect the services at earliest possible.
17. MISCONDUCT AND MISUSE OF ONLINE SERVICES
Membership will be terminated without giving notice if member misconduct is found to be causing damages to GA Space. Also members are required to contact GA Space if there is any abuse or misuse of our services which could cause damages to GA Space company image and financial loss.
Membership fee will be refunded prorated after minus the damages fee.
18. MEMBERSHIP ASSIGNMENT
Members are not permitted to assign their membership and transfer the benefits of the membership to anyone.
19. NOTICES
19.1. You acknowledge and agree that any notice given pursuant to these Terms and Conditions by either Party to the other must be in writing by email and will be deemed to have been given on transmission.
20. YOUR OBLIGATIONS
20.1. Computer system is host by 3rd party for co-working and membership management, you shall not abuse, hack and undermine the computer system and networks.
20.2 Any communication and information hosting in the membership directory shall NOT contain information and wording input by you into the computer system that are threatening, abusive, defame, unprofessional and go against our company policy and violation of any law (IP laws, copyright acts and relevant laws)
20.3 You shall not obtain data, trade secret and information from our system and our premises that is unauthorized.
20.4 You shall help GA Space to promote community building and promoting our community events, encourage entrepreneur development and facilitate community business activities.
20.5 All properties in GA Space is ownership of GA Space and the usage of property such as air-con, lightings, furniture and fittings shall keep in good conditions and save and off the electricity when are not in use. You shall liable to any damages to the property and you shall make good to the damage to original position.
20.6 When the premise of GA Space is not attended by our staff, you shall notify the management immediately.
20.7 You as a member authorized by GA Space shall be the sole user of the space and the facilities, and you shall not bring any non-member into the GA Space.
20.8 You could rent our space for your organized activities but you shall not organize activities that is against the laws, selling your product and services without our consent, gathering people for political reasons and any other unlawful activities.
20.9 You shall not lend out your membership or sell your membership. All ownership of the membership belong to GA Space.
20.10 You shall not dirty the space in GA Space and you shall keep clean at all times.
20.11 You shall ensure sufficient money in your bank or credit card, if you fail to pay the membership fee and the rental, you shall liable the costs in recovering your dues owing to us.
